Terms of Service

1. Definitions

"RXHAL" refers to RXHAL, a sole trader business operated by Harsimran Rehal based in Auckland, New Zealand. "We", "us", and "our" refer to RXHAL.

"You", "your", and "client" refer to any individual or entity accessing our website, creating an account, or purchasing any product or service from RXHAL.

"Services" refers to all products, services, digital content, protocols, and deliverables offered through rxhal.com and its verticals, including but not limited to RxDevelopment, RxBiology, RxEducation, RxSupplements, and RxClothing.

"Vertical" refers to a distinct product or service line operated under the RXHAL brand.

"Dashboard" refers to the authenticated member area at rxhal.com/dashboard.html where you access your purchased services and manage your account.

2. Acceptance

By accessing or using rxhal.com, creating an account, or purchasing any service, you agree to be bound by these Terms of Service and any applicable vertical-specific Terms and Conditions below. If you do not agree, do not use our services.

These terms constitute a legally binding agreement between you and RXHAL. Your continued use of our services following any updates to these terms constitutes acceptance of those changes.

3. Accounts

You must create an account to access paid services. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must provide accurate and complete information when creating an account. You must be at least 18 years of age to create and hold an account. Where RXHAL provides services to a participant under 18 (for example, youth coaching or self-defence programs), a parent or legal guardian must create and hold the account, agree to these terms on the minor's behalf, and provide consent for the participation and for the collection and use of the young person's information.

RXHAL reserves the right to suspend or terminate accounts that violate these terms, are used fraudulently, or remain inactive for an extended period, at our sole discretion.

4. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of our systems, servers, or databases.
  • Interfere with or disrupt the integrity or performance of our services.
  • Reverse engineer, decompile, or disassemble any part of our services.
  • Resell, redistribute, or sublicense any RXHAL service without prior written consent.
  • Submit false, misleading, or spam content through any form or intake on our site.

5. Intellectual Property

All content on rxhal.com — including text, design, code, graphics, logos, and branding — is the intellectual property of RXHAL unless otherwise stated. You may not copy, reproduce, distribute, or create derivative works from any RXHAL content without prior written consent.

Intellectual property terms specific to individual verticals (such as website code ownership under RxDevelopment or protocol content under RxBiology) are detailed in the relevant vertical-specific Terms and Conditions below.

6. Payments

All prices are listed in New Zealand Dollars (NZD). RXHAL is not currently registered for Goods and Services Tax (GST) under the New Zealand Inland Revenue threshold and does not collect GST on any transaction.

Payments are processed securely through Stripe. RXHAL does not store your credit card details. All payment processing is subject to Stripe's own terms of service and privacy policy.

Payment terms specific to each vertical — including refund policies, billing cycles, and pricing structures — are detailed in the relevant vertical-specific Terms and Conditions below.

7. Privacy & Data

Your personal information is governed by our Privacy Policy, which forms part of these terms and prevails over this summary in the event of any inconsistency. It explains what we collect, how we use and share it (including our third-party sub-processors), our handling of health information under the Health Information Privacy Code 2020 (NZ), international data transfers, and your rights.

In summary: we collect only the data needed to provide our services, store it securely, and never sell it or share it for marketing. We process personal information in accordance with the New Zealand Privacy Act 2020 and, where applicable, the General Data Protection Regulation (GDPR) for EU/EEA residents and the California Consumer Privacy Act (CCPA) for California residents. To make a privacy request, email harsimran@rxhal.com with the subject line PRIVACY REQUEST.

8. Limitation of Liability

RXHAL provides services on an "as is" basis. To the maximum extent permitted by New Zealand law, RXHAL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising from or related to our services shall not exceed the amount you paid to RXHAL for the specific service giving rise to the claim in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under New Zealand law, including liability under the Consumer Guarantees Act 1993 where applicable.

9. Dispute Resolution

These terms are governed by the laws of New Zealand. Any dispute arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith direct communication. You may contact us at the email address listed in the Contact section below.

10. Modifications

RXHAL reserves the right to update or modify these terms at any time. Changes will be reflected by updating the "Last updated" date at the top of this page. Material changes that affect your rights or obligations will be communicated via email to your registered account address.

Your continued use of our services after any modifications constitutes acceptance of the updated terms. If you do not agree with any changes, you should discontinue use of our services.

11. Indemnification

You agree to indemnify and hold harmless RXHAL from and against any third-party claim, demand, loss, liability, or expense (including reasonable legal costs) arising from or related to: (a) any content, materials, or assets you provide to us — including text, images, logos, and brand assets — including any claim that such materials infringe a third party's intellectual property or other rights; (b) your use of any deliverable or service in breach of these terms or applicable law; and (c) your breach of these terms. We will notify you of any such claim and you may participate in its defence at your own cost. This clause survives termination of your account.

12. General

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign or transfer these terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for any failure or delay caused by events beyond its reasonable control. These terms, together with our Privacy Policy and any applicable vertical-specific Terms and Conditions below, constitute the entire agreement between you and RXHAL regarding our services.


RxDevelopment

RxDevelopment — Terms & Conditions

The following terms apply to all website development services purchased through the RxDevelopment vertical. These terms supplement the Master Terms of Service above.

Scope of Service

RxDevelopment offers two tiers of website development:

Delivery timelines begin from the date your completed intake form is submitted, not the date of payment. Timelines are estimates and may vary depending on the complexity of requirements and the completeness of the information you provide.

Pricing

Starter Website: $2,000 NZD (one-time payment). Business Website: $4,500 NZD (one-time payment). All payments are required in full before work commences. No partial payments, payment plans, or invoiced billing are available unless explicitly agreed in writing.

Revisions

A "revision" is defined as a set of changes requested after a completed deliverable has been presented for review. The number of revision rounds included depends on your tier (see table above). Additional revisions beyond your included allocation may be accommodated at RXHAL's discretion and may incur additional charges.

Refund Policy

All payments for website development are non-refundable once work has commenced. Work is deemed to have commenced upon receipt of your completed intake form. If you cancel before submitting your intake form, a full refund will be issued. Nothing in this refund policy limits any remedy you may have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where they apply to your purchase.

Care Package

The Care Package is an optional ongoing maintenance subscription available after your website has been delivered. Pricing: $99 NZD/month or $1,000 NZD/year.

The Care Package includes: up to 5 change units per month, domain renewal coverage, and ongoing managed hosting. Change units are defined as follows:

Change units do not roll over between billing periods. Overflow changes beyond 5 units per month are charged at $50 NZD per unit. The Care Package can be cancelled at any time; cancellation takes effect at the end of the current billing period.

Domain & Hosting

Your tier price includes one year of domain registration. If you have an active Care Package, domain renewal is covered for the duration of your subscription. If you do not have a Care Package, domain renewal will be invoiced at $25 NZD per year. If the renewal invoice is not paid within 30 days, the domain may expire.

Your website is hosted on enterprise-grade managed hosting infrastructure operated by RXHAL. Hosting is included at no additional cost for the lifetime of your website while it remains on RXHAL's infrastructure.

Infrastructure Ownership

RXHAL owns and controls all hosting infrastructure, deployment systems, DNS configuration, and SSL certificates associated with your website. You do not receive direct access to hosting dashboards or server environments. All infrastructure management is handled by RXHAL on your behalf.

Code Ownership & Exit

While your website is hosted on RXHAL infrastructure, the website code is managed by RXHAL. If you choose to leave at any time, you will receive:

  • A complete export of all website source files (HTML, CSS, JavaScript, and all assets).
  • Deployment instructions for any standard hosting provider.
  • Transfer of your domain name to your own registrar account.

The exit process is free of charge. You have already paid for the build; the code is yours to take. RXHAL retains no copies of your website files after transfer is complete.

Client Responsibilities

You are responsible for: providing complete and accurate information in your intake form, supplying all content (text, images, logos, brand assets) in a timely manner, reviewing deliverables and providing feedback within 7 days of presentation, and ensuring that all content you provide does not infringe on any third-party intellectual property rights.

Delays in providing content or feedback may extend delivery timelines beyond the estimates listed above.

RxBiology

RxBiology — Terms & Conditions

The following terms apply to all coaching, protocol, and performance optimisation services purchased through the RxBiology vertical.

Nature of Service

RxBiology provides personalised performance protocols, coaching guidance, and systems-based health optimisation frameworks. RxBiology is not a medical service. Protocols are educational and informational in nature and do not constitute medical advice, diagnosis, or treatment.

You should consult a qualified healthcare professional before beginning any new exercise, nutrition, or supplementation program. RXHAL is not responsible for any injury, illness, or adverse health outcome resulting from the application of any protocol or guidance provided.

You participate in any RxBiology protocol voluntarily and at your own risk. You represent that you are in good health and physically able to undertake the activities involved, and that you have disclosed any relevant medical conditions. Do not begin or continue any protocol if you are pregnant, have a pre-existing medical condition, or are taking medication, without first consulting a qualified healthcare professional. Stop immediately and seek medical advice if you experience pain, dizziness, or any adverse symptom. Individual results vary and are not guaranteed.

Protocol Tiers

RxBiology offers tiered protocol access. Specific tiers, pricing, and included features are displayed on the dashboard at the time of purchase. All protocol purchases are subject to the general payment terms in Section 6 above.

Subscription Services

Certain RxBiology tiers operate on a recurring subscription basis. Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time through your dashboard; cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period. Nothing in this clause limits any non-excludable remedy you may have under the Consumer Guarantees Act 1993 where it applies.

Protocol Content Ownership

All protocol frameworks, methodologies, and intellectual property underlying RxBiology services are owned by RXHAL. Your personalised protocol output is yours — you may keep, reference, and apply it indefinitely. However, you may not redistribute, resell, or publish any protocol content.

Data & Intake Information

Information you provide through intake forms is used solely to generate your personalised protocol. It is stored securely and is never shared, sold, or used for advertising. Your protocol is private — no other user or third party can access it.
